1. Introduction, Scope, and Acceptance

These Website Terms of Use (“Terms”) govern your access to and use of www.vialreport.com and any webpages, content, features, tools, and services made available through that website (collectively, the “Site”). The Site is owned and operated by VialReport LLC (“VialReport,” “we,” “us,” or “our”).

The Site includes publicly available content that may be viewed without an account, including report verdicts, compound information, educational materials, and other resources. Certain reports, databases, alerts, downloads, and other features may be available only to users with authorized paid access, including subscribers and single-report purchasers.

By accessing, browsing, or otherwise using the Site, you acknowledge that you have read and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Site.

If you create an account, purchase a subscription, or purchase a single report, you will also be required to affirmatively accept these Terms through the registration or checkout process. Paid subscriptions, single-report purchases, and subscriber-only services are additionally governed by the VialReport Subscriber Agreement. If these Terms conflict with the Subscriber Agreement regarding a paid subscription, single-report purchase, subscriber account, or subscriber-only service, the Subscriber Agreement will control with respect to that matter.

VialReport’s collection and handling of personal information are described in the VialReport Privacy Policy. The Privacy Policy is incorporated into these Terms by reference for purposes of describing VialReport’s privacy practices, but it does not limit any rights or obligations imposed by applicable law.

The Site is intended for users located in the United States who are at least 18 years old. By using the Site, you represent that you satisfy these requirements and have the legal capacity to agree to these Terms.

2. Description of the Site and Services

VialReport provides independent laboratory-testing information, compound information, report verdicts, and related educational content concerning products and vendors within the research peptide market. The Site may include:

(a) Public Content. Report verdicts, compound-library information, educational materials, announcements, and other content that may be viewed without creating an account or purchasing a subscription.

(b) Subscriber Content and Features. Detailed reports, testing data, supporting materials, downloadable content, compound-tracking tools, alerts, and other features available only to users with authorized paid access, including subscribers and single-report purchasers.

(c) Vendor and Compound Requests. Features through which visitors or subscribers may privately request that VialReport consider a particular vendor or compound for future coverage or testing.

(d) Email and Account Communications. Newsletters, new-report announcements, compound alerts, account notices, and other communications relating to the Site and VialReport’s services.

The availability and scope of particular reports, compounds, vendors, subscription features, alerts, downloads, and other Site content may vary. A reference to a particular product, vendor, laboratory, compound, or subject does not guarantee that VialReport will test, review, monitor, or continue covering it.

VialReport may add, modify, suspend, or discontinue Site content or features in accordance with these Terms and the Subscriber Agreement, as applicable. Nothing in these Terms requires VialReport to publish a particular report, test a particular product or vendor, maintain a particular feature, or provide content according to a fixed schedule.

3. Informational Purpose; No Medical or Professional Advice

The Site and its content are provided solely for general informational and educational purposes. VialReport publishes laboratory-testing information, compound information, report verdicts, and related commentary concerning particular samples, products, and vendors. VialReport does not provide medical, healthcare, pharmaceutical, diagnostic, treatment, legal, regulatory, or other professional advice. Nothing on the Site is intended to:

(a) diagnose, prevent, treat, cure, or manage any disease, condition, or symptom;

(b) recommend any dosage, method of administration, treatment protocol, or course of action;

(c) determine whether any compound or product is appropriate for a particular person;

(d) establish the safety, efficacy, purity, legality, regulatory status, or suitability of any compound or product for human use; or

(e) substitute for advice from a qualified physician, pharmacist, attorney, regulatory professional, or other licensed professional.

A laboratory result, report verdict, grade, rating, or other statement published by VialReport does not constitute an endorsement, prescription, recommendation, or assurance that a product is safe, effective, lawful, approved by the U.S. Food and Drug Administration, or appropriate for human consumption or use. You should not make medical, treatment, purchasing, regulatory, or other decisions affecting health or safety based solely on information available through the Site. You are responsible for obtaining appropriate professional advice and independently evaluating the risks associated with any compound, product, vendor, or activity discussed on the Site. Use of the Site does not create a physician-patient, pharmacist-patient, attorney-client, professional-adviser, fiduciary, or other professional relationship between you and VialReport.

4. Testing, Reports, and Limitations

VialReport arranges for products and samples to be tested by accredited, independent third-party laboratories. The laboratory used for a particular test may vary, and the applicable report may identify the laboratory, testing method, sample information, and other supporting details relevant to that test.

4.1 Sample-Specific Results

Each laboratory result, report, verdict, grade, or rating applies only to the particular sample tested under the conditions and using the methods described in the applicable report. A result for one sample does not establish that:

(a) every product sold under the same name or by the same vendor contains identical ingredients, potency, purity, or characteristics;

(b) another batch, lot, shipment, formulation, or package will produce the same result;

(c) the product will remain unchanged after the test date;

(d) the vendor’s manufacturing, sourcing, storage, or handling practices are consistent over time; or

(e) the product is safe, effective, lawful, approved, or appropriate for human use.

Products may vary between batches, and vendors may change suppliers, formulations, manufacturing processes, labeling, packaging, or quality-control procedures without notice to VialReport.

4.2 Testing Methods and Laboratory Limitations

Laboratory testing is subject to the scope, methodology, detection limits, equipment, procedures, and professional judgment of the independent laboratory performing the test. Different laboratories or testing methods may produce different results. Although VialReport uses accredited, independent laboratories and seeks to present testing information accurately, laboratory testing may be affected by sampling limitations, measurement tolerances, handling conditions, laboratory error, incomplete information, or other factors beyond VialReport’s reasonable control. VialReport does not independently guarantee the accuracy, completeness, or reproducibility of a third-party laboratory’s methods, calculations, findings, certificates, or other work.

4.3 Vendor-Level Patterns

Individual testing results remain specific to the samples tested. However, VialReport may analyze and report trends, patterns, consistency, or changes in a vendor’s performance when supported by multiple tests, reports, or other reliable information collected over time. A vendor-level assessment reflects VialReport’s evaluation of the available testing record as of the date of publication. It does not guarantee the quality, composition, or performance of any future product, batch, or sample.

4.4 Third-Party Information

Reports may include or refer to information supplied by laboratories, product labels, vendors, manufacturers, regulators, researchers, or other third-party sources. VialReport may rely on such information when preparing reports and related content but does not guarantee that third-party information is complete, current, or error-free.

Users should review the applicable report, supporting materials, testing date, methodology, and stated limitations before relying on any result, verdict, grade, rating, or vendor-level assessment.

5. Editorial Independence and Report Revisions

5.1 Editorial Independence

VialReport independently selects the products, vendors, compounds, and subjects it evaluates or discusses. Testing decisions, report verdicts, grades, ratings, vendor-level assessments, and other editorial conclusions are based on laboratory results, supporting evidence, and VialReport’s independent analysis. VialReport does not accept:

(a) affiliate commissions or referral fees;

(b) sponsorship payments or paid placements;

(c) compensation from vendors, manufacturers, laboratories, or other parties covered by VialReport;

(d) free products or samples from vendors for purposes of testing or review; or

(e) any payment, benefit, or consideration in exchange for favorable coverage, testing priority, report revisions, ratings, or editorial influence.

The inclusion or exclusion of a vendor, product, compound, laboratory, or other subject from the Site does not indicate sponsorship, endorsement, approval, disapproval, or any commercial relationship with VialReport. No vendor, manufacturer, laboratory, subscriber, contributor, or other third party has the right to direct or control VialReport’s testing decisions, methodologies, editorial analysis, findings, verdicts, grades, ratings, or publication schedule.

5.2 Requests for Review or Correction

VialReport may receive questions, supporting materials, correction requests, or other information from vendors, laboratories, subscribers, or other third parties. VialReport may review such information but is not required to revise, remove, delay, or withhold any report or other content merely because a person or entity disputes, objects to, or is dissatisfied with it. Submitting information to VialReport does not create a right to a response, investigation, retest, correction, retraction, or other action.

5.3 Report Revisions

VialReport may revise, supplement, correct, or update a report, verdict, grade, rating, vendor-level assessment, compound entry, or other content when:

(a) new laboratory testing becomes available;

(b) corrected or additional laboratory data materially affects the prior analysis;

(c) reliable new information changes the underlying facts or evidentiary record;

(d) VialReport identifies a factual, clerical, calculation, or publication error; or

(e) an update is reasonably necessary to accurately reflect the available data.

Any revision will be based on the evidence available to VialReport and its independent editorial judgment. VialReport will not revise a report solely because a vendor or other interested party requests a different result. Unless otherwise stated, revised content reflects the information available as of the applicable revision date and does not alter the sample-specific nature or limitations of the underlying testing.

6. Accounts, Subscriptions, and Subscriber Agreement

6.1 Subscriber Accounts

Certain Site content and features require a paid subscriber account. To create or use an account, you must provide accurate, current, and complete information and keep that information reasonably updated. You may not:

(a) create an account using false or misleading information;

(b) impersonate another person or entity;

(c) create an account for a person who has not authorized you to do so; or

(d) use an account if you are under 18 years old or otherwise lack the legal capacity to enter into the applicable agreements.

VialReport may rely on the account and contact information you provide when administering your account, subscription, notices, alerts, and communications.

6.2 Account Credentials and Security

You are responsible for maintaining the confidentiality of your username, password, and other account credentials and for all activity occurring through your account. You may not share, transfer, sell, sublicense, or otherwise permit another person to use your account or credentials except as expressly authorized by VialReport. You must promptly notify VialReport at support@vialreport.com if you believe that:

(a) your account or credentials have been lost, stolen, compromised, or used without authorization; or

(b) unauthorized access to subscriber-only content has occurred through your account.

VialReport may require you to reset your credentials or take other reasonable security measures to protect the account, the Site, and subscriber-only content.

6.3 Subscriptions

The terms governing subscription tiers, fees, billing, renewals, cancellations, refunds, single-report purchases, access rights, founding-member benefits, account suspension, and termination are set forth in the VialReport Subscriber Agreement presented during registration or checkout. You are responsible for reviewing and complying with the Subscriber Agreement applicable to your subscription or purchase.

6.4 Relationship Between These Terms and the Subscriber Agreement

These Terms apply generally to the Site, its content, and all users, including users with authorized paid access. The Subscriber Agreement contains additional terms applicable specifically to subscriber accounts, paid services, single-report purchases, and subscriber-only content. If these Terms conflict with the Subscriber Agreement concerning subscription fees, billing, renewals, cancellations, refunds, single-report purchases, account access, or another paid-access matter, the Subscriber Agreement will control with respect to that matter. The provisions of these Terms concerning intellectual property, permitted use, prohibited conduct, Site security, disclaimers, limitation of liability, and other generally applicable Site rules continue to apply unless the Subscriber Agreement expressly provides otherwise. Notwithstanding the foregoing, Section 5 governs the substantive standards under which VialReport revises reports, verdicts, grades, ratings, vendor-level assessments, compound entries, and other editorial content.

6.5 Account Suspension or Restriction

VialReport may suspend, restrict, or terminate access to an account or subscriber-only content as permitted under the Subscriber Agreement, including when reasonably necessary to:

(a) protect the security or integrity of the Site;

(b) address suspected unauthorized access, credential sharing, scraping, redistribution, or other misuse;

(c) investigate a violation of these Terms or the Subscriber Agreement; or

(d) comply with applicable law or legal process.

7. Permitted Use of the Site and Content

7.1 Limited Right to Use the Site

Subject to these Terms, VialReport grants you a limited, personal, nonexclusive, nontransferable, revocable right to access and use the Site and its content solely for lawful, personal, and noncommercial purposes. This limited right does not transfer ownership of the Site or any report, verdict, grade, rating, database, laboratory result, methodology, graphic, photograph, text, or other content made available through the Site.

7.2 Public Content

Visitors may access and view publicly available content for personal, informational, and noncommercial purposes. You may share a link directing others to publicly available content, provided that you do not:

(a) reproduce or display the content in a manner that suggests it is your own;

(b) misrepresent, alter, or remove the context of the content;

(c) imply that VialReport endorses, sponsors, or is affiliated with you or any third party; or

(d) use the content for advertising, promotional, resale, competitive, or other commercial purposes.

7.3 Paid Content

Subject to the Subscriber Agreement, users with authorized paid access, including subscribers and single-report purchasers, may access the paid content made available to them and may download or print reports that are made available for download or printing through the Site solely for their own personal and noncommercial use. A user with authorized paid access may retain a reasonable number of copies for personal reference but may not:

(a) provide copies to another person or entity;

(b) post or upload reports or substantial portions of reports to a website, social-media platform, shared drive, database, forum, messaging group, or other location accessible by others;

(c) distribute reports within a business, organization, professional practice, membership group, or commercial enterprise;

(d) sell, license, sublicense, publish, republish, or commercially exploit any report or other subscriber-only content; or

(e) use downloaded or printed materials to create, supplement, or maintain a competing report, rating, testing, vendor, or compound database.

7.4 Limited Quotation and Attribution

You may quote a brief and reasonable portion of publicly available content for noncommercial commentary, discussion, or reference, provided that the quotation:

(a) is accurate and not misleading;

(b) does not disclose subscriber-only content;

(c) is not so extensive that it substitutes for the original content or report;

(d) includes clear attribution to VialReport; and

(e) includes a link to the applicable publicly available webpage when reasonably practicable.

This limited permission does not authorize the reproduction of complete reports, verdict compilations, testing tables, graphics, databases, or substantial portions of VialReport content.

7.5 Additional Permission

Any use of Site content not expressly permitted by these Terms requires VialReport’s prior written authorization. A request for permission may be submitted to support@vialreport.com. VialReport may grant, condition, limit, or deny a request in its discretion. Failure to respond to a request does not constitute permission.

8. Prohibited Conduct

You may not access or use the Site, any account, or any Site content in a manner that violates these Terms, the Subscriber Agreement, applicable law, or the rights of VialReport or another person. Without limiting the foregoing, you may not:

(a) Scrape or Extract Data. Use any robot, spider, crawler, scraper, script, browser extension, automated process, data-mining tool, or similar technology to access, monitor, copy, collect, download, index, extract, or compile Site content or data.

(b) Create or Enhance Databases. Use Site content to create, populate, supplement, verify, maintain, or improve any database, directory, comparison service, report service, rating system, vendor-tracking resource, compound library, or similar product or service.

(c) Train Artificial Intelligence Systems. Use Site content or data to train, fine-tune, test, evaluate, benchmark, ground, retrieve information for, or otherwise develop any artificial intelligence, machine-learning, automated-decision, or generative system.

(d) Reproduce or Redistribute Content. Copy, reproduce, publish, republish, upload, transmit, distribute, display, sell, license, sublicense, or otherwise make Site content available to another person except as expressly permitted by Section 7.

(e) Exploit Content Commercially. Use Site content for resale, advertising, marketing, consulting, professional services, competitive research, product development, investment solicitation, vendor promotion, or any other commercial purpose without VialReport’s prior written authorization.

(f) Share or Misuse Accounts. Share, sell, transfer, sublicense, disclose, or permit another person to use account credentials or subscriber-only access, or attempt to obtain access using another person’s credentials.

(g) Circumvent Access Controls. Bypass, disable, evade, interfere with, or attempt to defeat any paywall, authentication process, access restriction, download limitation, security feature, digital-rights control, or technical measure used to protect the Site or its content.

(h) Misrepresent VialReport Content. Alter, excerpt, present, or use Site content in a misleading manner, remove material context, omit stated limitations, falsify a report or result, or falsely attribute content or conclusions to VialReport.

(i) Imply an Unauthorized Relationship. Suggest that VialReport sponsors, endorses, approves, certifies, partners with, or is affiliated with any person, vendor, product, service, or organization without VialReport’s prior written authorization.

(j) Interfere with the Site. Disrupt, damage, overload, impair, probe, scan, test, or attempt to gain unauthorized access to the Site, an account, a server, a network, or another system connected to the Site.

(k) Introduce Harmful Technology. Upload, transmit, or introduce malware, malicious code, viruses, ransomware, spyware, corrupted files, or other harmful or disruptive technology.

(l) Engage in Fraud or Unlawful Conduct. Use the Site to commit fraud, impersonate another person, violate intellectual-property or privacy rights, harass another person, or engage in unlawful, deceptive, abusive, or harmful activity.

(m) Reverse Engineer Site Technology. Reverse engineer, decompile, disassemble, decode, or attempt to derive the source code, underlying structure, logic, models, systems, or nonpublic functionality of the Site, except to the limited extent such a restriction is prohibited by applicable law.

(n) Assist Another Person’s Violation. Encourage, enable, direct, assist, or permit another person to engage in conduct prohibited by these Terms.

VialReport may investigate suspected violations and may preserve or disclose relevant information as reasonably necessary to enforce these Terms, protect the Site and its users, or comply with applicable law or legal process.

9. Intellectual Property Rights

9.1 Ownership of the Site and Content

The Site and all content made available through it are owned by or licensed to VialReport and are protected by applicable copyright, trademark, trade-secret, database, unfair-competition, and other intellectual-property laws. Protected content may include:

(a) laboratory reports and testing summaries;

(b) report verdicts, grades, ratings, rankings, and vendor-level assessments;

(c) compound-library entries and vendor information;

(d) testing records, compilations, databases, taxonomies, classifications, selection criteria, and the organization and presentation of information;

(e) written analysis, commentary, descriptions, educational materials, and other text;

(f) charts, tables, photographs, graphics, icons, designs, and page layouts;

(g) methodologies, scoring systems, editorial frameworks, and nonpublic processes; and

(h) software, code, interfaces, Site functionality, and other technology.

Except for the limited rights expressly granted under Section 7, no right, title, or interest in the Site or its content is transferred to you.

9.2 VialReport Marks

The names VialReport and VIALREPORT, VialReport’s logos, taglines, report names, grades, rating identifiers, and other source-identifying words, symbols, designs, and branding are trademarks or other proprietary identifiers of VialReport. You may not use any VialReport name, mark, logo, tagline, branding element, or confusingly similar designation without VialReport’s prior written authorization. You may not register or use any domain name, social-media identifier, business name, product name, advertising keyword, metadata, or other designation that incorporates or is confusingly similar to a VialReport mark in a manner likely to cause confusion, imply affiliation, or divert users from the Site.

9.3 Third-Party Materials

Certain Site content may include laboratory certificates, research materials, trademarks, product names, photographs, regulatory materials, or other content owned by third parties. Ownership of those materials remains with the applicable third party. Their inclusion on the Site does not grant you any additional right to use them and does not imply that the third party sponsors, endorses, or is affiliated with VialReport. The use of third-party names, marks, products, or materials for identification, analysis, commentary, comparison, reporting, or other lawful purposes does not imply sponsorship or approval.

9.4 Copyright and Intellectual Property Concerns

If you believe that content available through the Site infringes a copyright or other intellectual-property right, you may send a written notice to support@vialreport.com that includes:

(a) identification of the protected work or right claimed to have been infringed;

(b) identification and location of the allegedly infringing material;

(c) your name and contact information;

(d) a statement explaining the basis for your claim; and

(e) any additional information reasonably necessary for VialReport to evaluate the notice.

VialReport may remove, restrict, or investigate disputed content when appropriate but is not required to accept unsupported or incomplete demands. Nothing in this subsection limits VialReport’s right to rely on fair use, nominative use, commentary, criticism, reporting, or any other applicable legal protection.

10. Requests, Feedback, and Other Submissions

10.1 Private Requests and Communications

The Site may allow you to submit private requests regarding vendors, compounds, testing subjects, corrections, or other matters. These submissions are provided for VialReport’s consideration only and will not be publicly displayed. VialReport may use or publish aggregated or deidentified information derived from requests or may publish a submission with the submitter’s permission. Submitting a request does not require VialReport to:

(a) test, review, investigate, monitor, or publish information regarding the requested vendor, compound, product, or subject;

(b) respond to the submission;

(c) provide updates concerning whether or when VialReport may act on the request; or

(d) prioritize the request over other testing, reporting, or editorial decisions. VialReport retains sole editorial discretion regarding the subjects it tests, reviews, discusses, or publishes.

10.2 Feedback and Suggestions

If you provide feedback, suggestions, ideas, proposed improvements, correction notices, or other comments concerning the Site or VialReport’s services, you grant VialReport a worldwide, perpetual, irrevocable, royalty-free, transferable, and sublicensable right to use, reproduce, modify, adapt, publish, and otherwise use that feedback for any lawful purpose without compensation or attribution to you. This provision does not transfer ownership of personal information included in a submission. Personal information will be handled in accordance with the Privacy Policy.

10.3 Submission Standards

You may not submit material that:

(a) is false, misleading, fraudulent, defamatory, threatening, harassing, obscene, or unlawful;

(b) infringes or violates another person’s copyright, trademark, privacy, publicity, confidentiality, contractual, or other rights;

(c) contains malware, malicious code, or harmful technology;

(d) discloses confidential, proprietary, personal, medical, or sensitive information that you are not authorized to provide; or

(e) is submitted for the purpose of manipulating, pressuring, misleading, or improperly influencing VialReport’s testing or editorial decisions.

You represent that you have the right to provide any material you submit and that VialReport’s permitted use of the submission will not violate another person’s rights.

10.4 No Confidential or Professional Relationship

Except for personal information handled under the Privacy Policy, submissions are not confidential unless VialReport expressly agrees otherwise in writing. Submitting information does not create an attorney-client, physician-patient, advisory, fiduciary, agency, partnership, employment, or other professional or special relationship with VialReport. You should not submit medical histories, diagnoses, treatment information, dosage information, intended human-use information, or other sensitive personal health information through the Site.

10.5 Future Interactive Features

The Site does not currently provide public comments, reviews, discussion forums, or other public user-posting features. VialReport may introduce moderated interactive features in the future. If such features are introduced, VialReport may establish additional rules governing their use and may review, moderate, edit, restrict, refuse, or remove submitted content as reasonably necessary to enforce these Terms, protect users or third parties, maintain the quality of the Site, or comply with applicable law.

11. Third-Party Content, Sources, and Links

11.1 Third-Party Sources

The Site may refer to, quote, summarize, reproduce, or link to information from independent laboratories, research publications, regulatory agencies, governmental authorities, manufacturers, vendors, product labels, databases, news sources, and other third parties. VialReport may use third-party information for purposes such as testing analysis, comparison, commentary, reporting, education, and verification. VialReport does not control third-party information and does not guarantee that it is accurate, complete, current, authentic, or free from error. The inclusion of third-party information does not mean that VialReport adopts every statement, conclusion, methodology, representation, or opinion expressed by the applicable source.

11.2 Third-Party Websites and Services

The Site may contain links to websites, documents, databases, platforms, or services operated by third parties. These links are provided for convenience, reference, attribution, or informational purposes. VialReport does not own or control independently operated third-party websites or services and is not responsible for their:

(a) content, accuracy, availability, or security;

(b) products, services, representations, or business practices;

(c) terms of use, privacy policies, or data-handling practices; or

(d) actions or omissions.

Your use of a third-party website or service is governed by the terms and policies of that third party. You should review those terms and policies before providing information, making a purchase, or relying on third-party content.

11.3 No Endorsement or Affiliation

A reference or link to a laboratory, regulator, researcher, publication, vendor, product, manufacturer, website, or other third party does not imply that:

(a) VialReport endorses or recommends the third party or its products or services;

(b) the third party endorses, sponsors, approves, or is affiliated with VialReport;

(c) VialReport has verified every statement made by the third party; or

(d) a commercial, contractual, referral, or compensatory relationship exists.

VialReport does not receive affiliate commissions, sponsorship payments, referral fees, or other compensation based on a user’s access to or use of a third-party link.

11.4 Third-Party Products and Transactions

VialReport is not a seller, distributor, manufacturer, pharmacy, healthcare provider, laboratory, or agent of any product or service referenced on the Site. Any transaction, communication, dispute, or other interaction between you and a third party is solely between you and that third party. VialReport is not responsible for any loss, injury, claim, damage, or dispute arising from a third-party product, service, website, transaction, representation, or conduct.

12. Site Availability, Changes, and Access Restrictions

12.1 Site Availability

VialReport does not guarantee that the Site or any particular content, report, feature, account function, alert, download, or service will be available at all times or without interruption. The Site may be unavailable, delayed, or impaired due to maintenance, updates, technical problems, service-provider outages, security incidents, increased traffic, legal requirements, or other circumstances beyond VialReport’s reasonable control.

12.2 Changes to the Site and Services

VialReport may add, modify, suspend, replace, or discontinue Site content, features, tools, or services when reasonably necessary to:

(a) improve or update the Site;

(b) reflect new testing, information, technology, or business operations;

(c) protect security, intellectual property, users, or third parties;

(d) address legal, regulatory, or operational requirements; or

(e) maintain the accuracy, integrity, or functionality of the Site.

Any change affecting a paid subscription remains subject to the applicable Subscriber Agreement.

12.3 Corrections and Technical Errors

The Site may contain typographical errors, formatting issues, broken links, technical defects, incomplete information, or other publication errors. VialReport may correct technical, clerical, formatting, or publication errors at any time. A correction of this nature is distinct from a substantive revision to a report, verdict, grade, rating, or vendor-level assessment, which will be governed by Section 5.

12.4 Access Restrictions

VialReport may restrict, suspend, or terminate access to the Site, an account, subscriber-only content, or particular features when reasonably necessary to:

(a) address an actual or suspected violation of these Terms or the Subscriber Agreement;

(b) prevent unauthorized access, scraping, redistribution, credential sharing, fraud, or other misuse;

(c) protect the security or integrity of the Site, its systems, its content, or its users;

(d) comply with applicable law, legal process, or governmental requirements; or

(e) prevent harm to VialReport, a user, a service provider, or another person.

Where reasonably practicable, VialReport may provide notice of an access restriction. VialReport is not required to provide advance notice when immediate action is reasonably necessary for security, legal compliance, fraud prevention, or protection of the Site or its content.

12.5 No Obligation to Preserve Content or Features

Except as expressly provided in the Subscriber Agreement or required by applicable law, VialReport is not obligated to preserve, maintain, archive, or continue providing any particular Site feature, report format, public webpage, alert, database entry, or other content indefinitely.

13. Disclaimers of Warranties

13.1 Site Provided “As Is”

To the fullest extent permitted by applicable law, the Site and all reports, verdicts, grades, ratings, testing information, compound information, vendor assessments, databases, alerts, downloads, and other content or services made available through the Site are provided on an “as is” and “as available” basis. Your access to and use of the Site and your reliance on any Site content are at your own risk.

13.2 No Express or Implied Warranties

To the fullest extent permitted by applicable law, VialReport disclaims all express, implied, statutory, and other warranties, including any implied warranties of:

(a) merchantability;

(b) fitness for a particular purpose;

(c) title;

(d) noninfringement;

(e) accuracy or completeness;

(f) uninterrupted or error-free operation; and

(g) results arising from access to or use of the Site.

No oral or written information, explanation, communication, or statement provided by VialReport creates a warranty unless expressly stated in a written agreement signed by an authorized representative of VialReport.

13.3 No Guarantee Regarding Content or Results

VialReport does not warrant or guarantee that:

(a) any report, laboratory result, verdict, grade, rating, vendor-level assessment, compound entry, or other content is complete, current, error-free, or suitable for a particular purpose;

(b) testing performed on one sample will accurately predict the composition, purity, potency, consistency, quality, or characteristics of another sample, batch, lot, shipment, or product;

(c) a vendor, product, compound, laboratory, or other subject will perform consistently over time;

(d) third-party information, laboratory findings, certificates, research materials, regulatory information, or linked content will be accurate, complete, current, authentic, or reproducible;

(e) the Site or any feature, account, report, alert, download, or service will be available, secure, uninterrupted, or free from technical defects or harmful components; or

(f) your use of the Site or reliance on its content will produce any particular decision, result, benefit, or outcome.

13.4 No Product or Human-use Warranty

VialReport makes no warranty or representation regarding the manufacture, composition, labeling, legality, regulatory status, safety, efficacy, storage, handling, administration, consumption, or use of any product or compound discussed on the Site. A report, verdict, grade, rating, or favorable laboratory result is not a warranty, certification, assurance, or guarantee that a product is safe, effective, lawful, approved, fit for human use, or appropriate for any particular person or purpose.

13.5 Independent Evaluation

You are responsible for independently evaluating Site content and determining whether to obtain advice from an appropriate physician, pharmacist, attorney, regulatory professional, or other qualified adviser before making a decision affecting health, safety, legal compliance, purchasing, or product use.

13.6 Exceptions Required by Law

Some jurisdictions do not permit the exclusion of certain warranties. To the extent an exclusion in this Section is prohibited by applicable law, the applicable warranty will be limited to the shortest period and narrowest scope permitted by law.

14. Limitation of Liability

14.1 Exclusion of Certain Damages

To the fullest extent permitted by applicable law, VialReport and its members, managers, officers, employees, contractors, agents, affiliates, licensors, and service providers will not be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages arising out of or relating to:

(a) your access to, use of, inability to use, or reliance on the Site or its content;

(b) any report, verdict, grade, rating, vendor-level assessment, compound information, laboratory result, or other content;

(c) any product, vendor, laboratory, website, service, or third party referenced through the Site;

(d) any decision, purchase, action, or omission based on information obtained through the Site;

(e) any interruption, delay, error, omission, loss of data, unauthorized access, security incident, or technical failure; or

(f) any act, omission, representation, or violation of these Terms by another user or third party.

This exclusion includes damages for lost profits, lost revenue, lost business opportunities, loss of goodwill, loss of data, business interruption, and the cost of substitute products or services, regardless of the legal theory asserted and even if VialReport has been advised of the possibility of such damages.

14.2 Maximum Aggregate Liability

To the fullest extent permitted by applicable law, VialReport’s total aggregate liability arising out of or relating to the Site, its content, or these Terms will not exceed the greater of:

(a) the total fees, if any, actually paid by you to VialReport during the twelve months immediately preceding the event giving rise to the claim; or

(b) one hundred dollars ($100).

These limitations apply collectively to all claims arising from the same or related facts, events, transactions, or circumstances and regardless of whether a claim is based in contract, tort (including negligence), statute, strict liability, or another legal theory.

14.3 Third-Party Products, Services, and Conduct

VialReport will not be liable for any injury, illness, loss, damage, claim, or dispute arising out of or relating to:

(a) the manufacture, formulation, labeling, packaging, sale, purchase, possession, storage, handling, administration, consumption, or use of any product or compound;

(b) the acts, omissions, representations, products, services, or testing activities of a vendor, manufacturer, laboratory, researcher, regulator, website operator, payment processor, or other third party; and

(c) any transaction, communication, dispute, or relationship between you and a third party.

Nothing on the Site makes VialReport the seller, manufacturer, distributor, importer, laboratory, healthcare provider, agent, guarantor, or insurer of any third-party product or service.

14.4 Essential Allocation of Risk

The limitations and exclusions in these Terms reflect the allocation of risk between you and VialReport and are an essential basis of the agreement governing your use of the Site. These limitations apply even if a remedy fails of its essential purpose.

14.5 Exceptions Required by Law

Nothing in these Terms excludes or limits:

(a) liability resulting from VialReport’s fraud or willful or wanton misconduct;

(b) any rights or remedies that cannot lawfully be waived, excluded, or limited; or

(c) any other liability that applicable law prohibits VialReport from excluding or limiting.

If a limitation or exclusion in this Section is unenforceable in a particular jurisdiction, it will be applied to the maximum extent permitted by law without affecting the remaining provisions of these Terms.

15. Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless VialReport and its members, managers, officers, employees, contractors, agents, affiliates, licensors, and service providers from and against any third-party claim, demand, action, proceeding, liability, judgment, settlement, loss, damage, cost, or expense, including reasonable attorneys’ fees, arising out of or relating to:

(a) your violation of these Terms or the Subscriber Agreement;

(b) your unlawful, unauthorized, or improper access to or use of the Site, an account, or Site content;

(c) your copying, downloading, printing, publication, redistribution, commercial exploitation, or other use of Site content beyond the permissions granted under these Terms;

(d) your alteration, misquotation, mischaracterization, or misleading presentation of a report, verdict, grade, rating, laboratory result, vendor assessment, or other VialReport content;

(e) your use of Site content in connection with the promotion, sale, recommendation, administration, consumption, or other use of a product or compound;

(f) any material, request, feedback, information, or other content you submit through the Site;

(g) your infringement, misappropriation, or violation of another person’s intellectual-property, privacy, publicity, confidentiality, contractual, or other rights;

(h) your fraud, misrepresentation, unlawful conduct, or willful misconduct; or

(i) any transaction, representation, communication, or dispute between you and another person arising from your use of the Site or Site content.

VialReport will provide reasonable notice of a covered claim, subject to any limitations caused by delayed notice. VialReport may control the defense and settlement of the claim using counsel of its choosing, and you agree to provide reasonable cooperation at your expense. You may not settle a claim in a manner that imposes liability, obligations, admissions, restrictions, or nonmonetary relief on VialReport without VialReport’s prior written consent. VialReport may participate in the defense of a claim with separate counsel at its own expense. Your indemnification obligations do not apply to the extent a claim results from VialReport’s fraud or willful or wanton misconduct.

16. Governing Law and Venue

These Terms and any dispute, claim, or controversy arising out of or relating to the Site, Site content, or these Terms will be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict-of-laws principles. Subject to any rights or remedies that cannot lawfully be waived, any legal action or proceeding arising out of or relating to the Site, Site content, or these Terms must be brought exclusively in:

(a) the state courts located in Cook County, Illinois; or

(b) the United States District Court for the Northern District of Illinois, Eastern Division.

You and VialReport consent to the personal jurisdiction of those courts and waive any objection based on improper venue or an inconvenient forum. Nothing in this Section limits either party’s right to seek temporary, preliminary, or other equitable relief when reasonably necessary to prevent or address unauthorized access, scraping, misuse, infringement, misappropriation, or disclosure of confidential or proprietary information.

17. Changes to These Terms

VialReport may update these Terms from time to time to reflect changes in the Site, its services, technology, business operations, legal requirements, or applicable practices. When VialReport updates these Terms, it will post the revised version on the Site and update the “Effective Date” shown at the beginning of the Terms. If a change is material, VialReport may also provide notice through the Site, a subscriber account, email, or another appropriate method. VialReport may require subscribers to affirmatively accept materially revised Terms before continuing to access subscriber-only content or services.

Unless otherwise stated, revised Terms will apply prospectively beginning on the effective date identified in the revised version. Changes will not retroactively alter rights or obligations that arose before the applicable effective date unless required by law or expressly agreed by the affected parties. Your continued access to or use of the Site after revised Terms become effective constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Site and, if applicable, cancel your subscription in accordance with the Subscriber Agreement.

18. Miscellaneous

18.1 Entire Agreement

These Terms and, where applicable, the Subscriber Agreement, checkout terms, and supplemental terms presented to you constitute the entire agreement between you and VialReport regarding your use of the Site and supersede prior or contemporaneous communications, representations, or understandings concerning that subject matter. The Privacy Policy describes VialReport’s privacy practices and is incorporated only as provided in Section 1.

18.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will continue in full force and effect.

18.3 No Waiver

VialReport’s failure or delay in exercising or enforcing a right, remedy, or provision under these Terms does not constitute a waiver of that right, remedy, or provision. A waiver is effective only if it is in writing and signed by an authorized representative of VialReport. A waiver on one occasion does not constitute a waiver on any other occasion.

18.4 Assignment

You may not assign or transfer these Terms or any right to access or use the Site without VialReport’s prior written consent. VialReport may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, reorganization, financing, sale of assets, change of control, or similar business transaction, or to an affiliate or successor. Any attempted assignment or transfer in violation of this subsection is void.

18.5 No Third-Party Beneficiaries

These Terms are for the benefit of you and VialReport and do not create rights or remedies in favor of any other person or entity.

18.6 Independent Parties

Nothing in these Terms creates a partnership, joint venture, agency, employment, fiduciary, franchise, or similar relationship between you and VialReport. You do not have authority to bind VialReport or make any representation, warranty, or commitment on its behalf.

18.7 Electronic Communications

You consent to receive agreements, notices, disclosures, and other communications from VialReport electronically, including through the Site, your subscriber account, or email. To the extent permitted by applicable law, electronic communications may satisfy a requirement that a communication be provided in writing. You are responsible for maintaining a current email address and reviewing communications sent to the contact information associated with your account.

18.8 Headings and Interpretation

Section titles and headings are included for convenience only and do not limit or affect the meaning of these Terms. The words “including,” “includes,” and similar terms mean “including without limitation.” References to the singular include the plural and vice versa where the context reasonably requires.

18.9 Events Beyond VialReport’s Control

VialReport will not be responsible for any delay, interruption, failure, loss, or inability to perform caused by events beyond its reasonable control, including natural disasters, public health emergencies, internet or hosting failures, cyberattacks, labor disruptions, governmental actions, legal or regulatory changes, payment-processor issues, or third-party service failures.

18.10 Survival

Any provision that by its nature should continue after termination of your access to or use of the Site will survive, including provisions concerning intellectual property, prohibited conduct, disclaimers, limitation of liability, indemnification, governing law, venue, and miscellaneous terms.
