Subscription, Single-Report Purchase, and Platform Access Terms
This VialReport Subscriber Agreement (this “Agreement”) governs access to and use of the VialReport website located at https://vialreport.com/, including any related member dashboard, subscriber portal, reports, data, downloadable materials, content, features, tools, and services made available by VialReport LLC through the website or platform.
This Agreement is entered into by and between VialReport LLC, a Wyoming limited liability company (“VialReport,” “we,” “us,” or “our”), and the individual who creates an account, purchases a subscription, purchases a single report, clicks to accept this Agreement, or otherwise accesses paid VialReport content (“Subscriber,” “you,” or “your”).
By creating an account, purchasing a subscription, purchasing a single report, clicking “I agree,” “I accept,” or a similar button or checkbox, or accessing any paid portion of the VialReport platform, you agree to be bound by this Agreement. If you do not agree to this Agreement, you may not create an account, purchase a subscription, purchase a single report, or access paid VialReport content.
(A) VialReport operates an informational platform that publishes reports, data, commentary, and related materials concerning certain products, vendors, compounds, peptides, testing information, certificates of analysis, chromatograms, and other market or product-related information.
(B) VialReport offers paid access to certain content through subscription plans, single-report purchases, and other features that may be made available through the Platform from time to time, subject to the pricing, features, and availability shown at checkout.
(C) VialReport’s Content is provided for informational purposes only and is subject to the disclaimers, use restrictions, and other terms set forth in this Agreement.
For good and valuable consideration, including your access to the VialReport platform and paid VialReport content, and intending to be legally bound, VialReport and Subscriber agree as follows:
(a) Eligibility. The Platform is intended only for individuals who are at least eighteen (18) years old and located in the United States. By creating an Account, purchasing a Subscription, purchasing a Single Report, or accessing paid Content, you represent that you are at least eighteen (18) years old, are located in the United States, and have the legal capacity to enter into this Agreement.
(b) Individual Accounts. Unless VialReport separately offers a plan that expressly permits company, team, enterprise, shared, or seat-based access, each Subscription and Single Report purchase is intended for use by one individual Subscriber only. Each Account is personal to the Subscriber who creates it. You may not share, transfer, resell, assign, or allow any other person to use your Account.
(c) Account Information. You agree to provide accurate, current, and complete information when creating an Account, purchasing a Subscription, purchasing a Single Report, or otherwise interacting with the Platform. You are responsible for keeping your Account information, including your email address and payment information, accurate and up to date.
(d) Login Credentials. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs through your Account. You may not share your username, password, login link, access credentials, or paid Content access with any other person. You must promptly notify VialReport at support@vialreport.com if you believe your Account or login credentials have been lost, stolen, compromised, or used without authorization.
(a) Subscription Plans. VialReport may offer paid subscription plans that provide access to certain Content, features, and Platform materials. At launch, VialReport expects to offer consumer subscription plans currently identified as the Data tier and the Proof tier, each of which may be offered on a monthly or annual basis. The features, access rights, and pricing for each Subscription will be as described on the Platform or at checkout at the time of purchase.
(b) Single-Report Purchases. VialReport may also offer one-time purchases of individual Reports. A Single Report purchase provides access to the specific Report purchased, subject to this Agreement, the access terms shown at checkout, and VialReport’s right to update, correct, replace, reclassify, remove, or disable access to Reports as provided in this Agreement.
(c) Pricing Shown at Checkout. VialReport’s prices, Subscription tiers, included features, and available purchase options may change from time to time. Unless this Agreement or the checkout terms expressly state otherwise, the applicable price and purchase terms are the price and terms shown at checkout when you purchase a Subscription or Single Report.
(d) Changes to Plans and Features. VialReport may add, remove, modify, rename, discontinue, or replace Subscription plans, Single Report offerings, features, Content categories, download options, or Platform functionality from time to time, subject to this Agreement.
(e) Future Offerings. VialReport may later offer additional products, services, subscription tiers, intelligence products, practitioner-focused offerings, member-directed testing features, company accounts, multi-seat accounts, enterprise plans, vendor-facing terms, or other offerings. Those future offerings are not included in your Subscription or Single Report purchase unless VialReport expressly states otherwise, and they may be subject to separate or supplemental terms.
(a) Payment. All prices are shown at checkout and are stated in U.S. dollars unless otherwise indicated. By purchasing a Subscription or Single Report, you authorize VialReport and its third-party payment processor to charge your selected payment method for the applicable fees, taxes, and other charges shown at checkout. VialReport currently uses Stripe or another third-party payment processor to process payments, and your payment may also be subject to that processor’s terms and policies.
(b) Automatic Renewal. Monthly and annual Subscriptions automatically renew unless canceled before the next renewal date. By purchasing a Subscription, you authorize VialReport and its payment processor to automatically charge your payment method at the applicable recurring interval shown at checkout until you cancel. Unless otherwise stated at checkout or in this Agreement, renewal charges will be based on the then-current price for the applicable Subscription plan. You may cancel your Subscription through your Account settings or member dashboard, or through any other cancellation method VialReport makes available.
(c) Monthly Subscriptions. You may cancel a monthly Subscription at any time. Cancellation stops the next monthly charge, but you will continue to have access through the end of the then-current paid monthly billing period. Monthly Subscription fees are non-refundable, and VialReport does not provide prorated refunds or credits for partial monthly billing periods, except where required by law.
(d) Annual Subscriptions. You may cancel an annual Subscription at any time. Cancellation stops the next annual renewal charge, but you will continue to have access through the end of the then-current paid annual billing period. Annual Subscription fees are non-refundable, and VialReport does not provide prorated refunds or credits for partial annual billing periods, except where required by law.
(e) Single Report Purchases. Single Report purchases are one-time purchases that provide access to the specific Report purchased, subject to this Agreement. Because access is made available promptly after purchase, Single Report purchases are non-refundable except where required by law.
(f) No Refunds Except as Required by Law. Except where required by applicable law or expressly stated by VialReport in writing, all payments are final and non-refundable. VialReport may, in its sole discretion, offer a refund, credit, or other accommodation, but doing so in one instance does not require VialReport to do so in any other instance.
(a) Failed Payments. If a recurring Subscription payment fails, VialReport or its payment processor may attempt to recharge your payment method according to the payment processor’s standard retry or dunning process. You are responsible for keeping a valid payment method on file and promptly updating your payment information if your payment method expires, is declined, or otherwise cannot be charged.
(b) Suspension for Nonpayment. If payment is not successfully processed after the applicable retry or dunning process, VialReport may suspend your access to the Platform, paid Content, Downloadable Materials, and other Subscription features until the payment issue is resolved. VialReport is not responsible for any loss of access resulting from an expired, invalid, declined, or unavailable payment method.
(c) Cancellation for Uncured Nonpayment. If a failed payment is not cured within the time permitted by VialReport or its payment processor, VialReport may cancel your Subscription. Cancellation for nonpayment does not entitle you to a refund or credit for any previously paid amounts, except where required by law.
(d) Suspension or Termination for Breach. VialReport may suspend or terminate your Account, Subscription, Single Report access, or other access to the Platform if VialReport reasonably believes that you have violated this Agreement, misused the Platform or Content, shared login credentials, redistributed Content, used Content for commercial or external marketing purposes without approval, attempted to scrape or bulk-copy Content, submitted false or misleading information, engaged in fraud or chargeback abuse, created legal or regulatory risk for VialReport, or otherwise acted in a manner that may harm VialReport, the Platform, or other users.
(e) Effect of Suspension or Termination. If your access is suspended or terminated, you must immediately stop accessing and using the Platform and any paid Content except as expressly permitted by VialReport in writing. Termination does not limit VialReport’s other rights or remedies. Sections of this Agreement that by their nature should survive termination will survive, including provisions relating to ownership, use restrictions, disclaimers, limitation of liability, indemnification, governing law, and miscellaneous terms.
(a) Limited Founding Member Offer. VialReport may offer a limited founding member subscription to the first one hundred (100) eligible Subscribers who purchase the offer while it remains available. VialReport may close the founding member offer once the one hundred (100) member cap is reached or if VialReport otherwise determines that the offer is no longer available.
(b) Recurring Annual Subscription; Not Lifetime One-Time Access. The founding member offer is a recurring annual Subscription at the founding member price shown at checkout. It is not a one-time lifetime purchase, lifetime membership, lifetime access pass, or prepaid lifetime account. A Founding Member must maintain an active annual Subscription and remain in good standing to keep the founding member price.
(c) Locked Annual Rate. Subject to this Section 5, a Founding Member’s annual Subscription price will remain locked at the founding member price shown at checkout for so long as VialReport continues to operate the Platform and continues to offer substantially similar paid subscription access. The locked annual rate applies only to the founding member Subscription and does not apply to any other products, services, add-ons, future subscription tiers, member-directed testing features, enterprise offerings, practitioner-focused offerings, or other future offerings unless VialReport expressly states otherwise.
(d) Access Level. Unless otherwise stated at checkout, the founding member offer provides access at the Proof-level subscription access then made available by VialReport, subject to VialReport’s right to update, modify, replace, rename, remove, reclassify, or change Platform features, Content, Reports, data, downloads, conclusions, rankings, verdicts, and subscription offerings as provided in this Agreement. The founding member offer does not guarantee that any particular feature, Report, dataset, vendor profile, compound profile, download format, classification, ranking, verdict, or Platform functionality will remain available.
(e) Cancellation; Loss of Locked Rate. If a Founding Member cancels the founding member Subscription, the Founding Member will forfeit the locked founding member rate. If the Subscriber later rejoins VialReport, the Subscriber will be subject to the then-current pricing and terms available at that time, unless VialReport separately agrees otherwise in writing.
(f) Failed Payments. A failed payment will be handled through VialReport’s or its payment processor’s standard retry or dunning process. A Founding Member may update payment information, email address, login credentials, or other ordinary Account information without losing founding member status. However, if payment is not cured within the applicable retry or dunning process and the founding member Subscription is canceled, lapses, or is terminated for nonpayment, VialReport may treat the founding member rate as forfeited.
(g) Forfeiture for Misuse or Breach. VialReport may terminate founding member status and the locked annual rate if VialReport reasonably determines that a Founding Member has engaged in a chargeback, credential sharing, unauthorized Account access, redistribution of Content, scraping, bulk-copying, fraud, commercial misuse, external marketing use without approval, or any other material breach of this Agreement.
(h) Sale, Merger, or Platform Transfer. If VialReport is sold, merged, reorganized, transferred, or otherwise succeeded by another person or entity, the founding member locked rate will continue only if the successor continues to operate the VialReport Platform or a substantially similar successor platform. Nothing in this Agreement requires VialReport or any successor to continue operating the Platform, offering any particular subscription tier, or maintaining any particular feature, Report, dataset, or Platform functionality.
(i) Non-Transferable. Founding member status is personal to the original Subscriber and may not be sold, assigned, transferred, shared, resold, or used by any other person.
(a) Single Report Credit. If you purchase a Single Report, VialReport may allow you to apply the purchase price of that Single Report as a credit toward an eligible annual Subscription, subject to this Section 6.
(b) Fourteen-Day Deadline. To use the credit, you must apply it within fourteen (14) days after the date of your Single Report purchase. If the credit is not used within that fourteen (14) day period, it expires automatically and will not be refunded, extended, reinstated, or converted to cash.
(c) Annual Subscriptions Only. The credit may be applied only toward an eligible annual Subscription then offered by VialReport, currently expected to include the Data annual Subscription or Proof annual Subscription. The credit may not be applied toward a monthly Subscription, founding member Subscription, future practitioner-focused offering, Signal tier, Commission feature, enterprise plan, company account, multi-seat plan, Fund, or any other product or service unless VialReport expressly states otherwise.
(d) No Stacking; No Cash Value; Non-Transferable. Only one Single Report purchase may be applied as a credit toward an annual Subscription. If you purchase multiple Single Reports, you may apply the purchase price of only one Single Report as a credit. Multiple Single Report purchases may not be combined, stacked, accumulated, or applied to the same Subscription purchase. The credit has no cash value, is non-refundable, is not transferable, and may not be sold, assigned, or applied to another person’s Account.
(e) Checkout and Technical Requirements. The credit must be applied in the manner made available by VialReport, which may include use of a checkout code, account credit, or other process shown on the Platform. VialReport is not obligated to apply a credit after the fourteen (14) day period expires or if the Subscriber does not follow the applicable checkout or redemption process.
(a) Access to Reports. Access to Reports and related Content depends on the type of purchase or Subscription you select and the access rights shown on the Platform or at checkout. A Subscription provides access to the Content made available for that Subscription tier during the applicable paid access period. A Single Report purchase provides access to the specific Report purchased for so long as that Report remains live and available on the Platform.
(b) No Permanent or Frozen Version. A Single Report purchase does not provide permanent access to a fixed, archived, or frozen version of a Report. VialReport’s Reports and Report Data may change over time as new information becomes available, corrections are made, classifications are updated, or VialReport changes its reporting approach.
(c) Right to Update, Revise, or Remove Content. VialReport may update, correct, revise, replace, remove, disable, reclassify, or change any Report, Report Data, conclusion, ranking, verdict, classification, download, feature, Content category, or Platform functionality at any time. VialReport may also discontinue or remove access to any Report or Content, including Reports previously purchased as Single Reports, subject to the refund terms in Section 3.
(d) No Duty to Update or Notify. VialReport has no obligation to update any Report or Content, maintain any prior version, or notify you when any Report, Report Data, conclusion, ranking, verdict, classification, download, feature, or Content availability changes. VialReport may choose to provide updates or notices, but doing so does not create any ongoing obligation to provide future updates or notices.
(a) Limited Personal Use. Subject to this Agreement and your applicable purchase or Subscription, VialReport grants you a limited, personal, non-exclusive, non-transferable, revocable right to access and use the Platform and Content for your own personal informational use only. If your Subscription tier or purchase allows downloads, you may download and save the applicable Downloadable Materials for your own personal records.
(b) No Ownership Transfer. Downloading or accessing Content does not give you ownership of the Content or any right to copy, reproduce, publish, distribute, resell, commercially use, or otherwise exploit the Content except as expressly permitted by this Agreement.
(c) Prohibited Uses. You may not share your Account or login credentials; share, transfer, resell, sublicense, publish, post, upload, distribute, or make VialReport Content available to any non-subscriber; post or circulate VialReport Content in forums, message boards, social media, group chats, Discord, Reddit, Telegram, or similar communities; scrape, crawl, harvest, bulk-copy, data-mine, index, or extract VialReport Content; use VialReport Content to create, train, improve, or support any database, dataset, artificial intelligence model, machine-learning model, competing product, or commercial information service; remove proprietary notices, disclaimers, watermarks, source identifiers, or access controls; bypass or interfere with Platform security or access controls; or use the Platform or Content in any unlawful, misleading, harmful, or unauthorized manner.
(a) No External Marketing or Vendor Use. You may not use any VialReport Content, Report, Report Data, conclusion, ranking, verdict, classification, screenshot, download, or excerpt in any external marketing, advertising, product page, customer communication, investor material, pitch deck, social media post, press release, public statement, vendor or supplier claim, or other public-facing or commercial material without VialReport’s prior written approval. Vendors, suppliers, manufacturers, resellers, affiliates, promoters, and other commercial parties may not use VialReport Content to promote, market, sell, compare, validate, certify, endorse, or make claims about any product, compound, peptide, vendor, supplier, service, or business without VialReport’s prior written approval.
(b) No Endorsement. VialReport’s publication of any Report, Report Data, ranking, classification, verdict, or other Content does not mean that VialReport endorses, recommends, approves, certifies, verifies, guarantees, or sponsors any vendor, supplier, product, compound, peptide, service, or business. You may not state or imply otherwise.
(a) VialReport Ownership. VialReport owns and retains all right, title, and interest in and to the Platform, Content, Reports, Report Data, Downloadable Materials, databases, compilations, classifications, rankings, verdicts, commentary, trademarks, logos, trade names, designs, software, technology, methods, know-how, and other intellectual property made available through or used in connection with the Platform.
(b) Limited Access Only. Your purchase of a Subscription, Single Report, or other paid access gives you only the limited rights expressly stated in this Agreement. No ownership rights are transferred to you, and all rights not expressly granted are reserved by VialReport.
(a) Request Features. The Platform may allow you to request or suggest a vendor, compound, peptide, product, topic, or other item for possible future review, testing, reporting, or consideration by VialReport. These requests are non-binding suggestions only. VialReport may review, act on, decline, ignore, prioritize, or deprioritize any request in its sole discretion, and no request obligates VialReport to test, review, publish, respond, explain, or take any action.
(b) User Submissions. If you submit or provide any request, suggestion, correction, comment, question, product information, vendor information, compound information, document, file, data, or other information to VialReport, you grant VialReport the right to review, use, verify, reject, ignore, anonymize, publish, incorporate, or otherwise consider that information in connection with the Platform, Content, Reports, data, market research, or VialReport’s business, without compensation, attribution, confidentiality, or obligation to you. You represent that you have the right to provide any information you submit and that your submission does not violate any law, third-party right, confidentiality obligation, or other restriction.
(c) No Influence Over Results. User Submissions and requests do not control or influence VialReport’s testing decisions, editorial judgment, conclusions, rankings, classifications, verdicts, or publication decisions. VialReport remains solely responsible for determining what it reviews, tests, publishes, updates, removes, or changes.
(d) Fund. VialReport may later offer a voluntary “Fund” feature that allows eligible users to contribute funds to support VialReport’s testing and reporting work. The Fund feature will be subject to additional terms made available by VialReport. Unless VialReport expressly states otherwise, contributions made through Fund are voluntary, are not tax-deductible donations, and do not provide any goods, services, ownership interest, equity, voting rights, refund right, testing priority, editorial control, or influence over any VialReport result, verdict, ranking, classification, testing decision, or publication decision.
(a) Informational Use Only. VialReport provides informational content only. The Platform, Content, Reports, Report Data, rankings, classifications, verdicts, downloads, and related materials are provided for general informational and educational purposes and are not intended to be relied upon as medical, prescribing, compounding, manufacturing, regulatory, compliance, product-safety, legal, investment, or other professional advice.
(b) No Medical or Professional Relationship. Your use of the Platform does not create a physician-patient, pharmacist-patient, attorney-client, advisor-client, vendor-customer, or other professional relationship with VialReport. You should consult your own qualified professional advisors before making decisions involving health, medical treatment, prescriptions, compounding, regulatory compliance, legal obligations, purchasing, manufacturing, distribution, or product use.
(c) No Sale, Supply, Administration, or Recommendation. VialReport does not sell, supply, compound, distribute, administer, prescribe, recommend, or instruct any person to use or not use any peptide, compound, product, vendor, supplier, service, or business. VialReport does not guarantee the safety, legality, purity, sterility, efficacy, suitability, availability, quality, composition, labeling, compliance, or performance of any product, compound, peptide, vendor, supplier, service, or business.
(d) Subscriber Responsibility. You are solely responsible for how you interpret and use any information obtained through the Platform. You agree not to rely on VialReport Content as a substitute for independent judgment, professional advice, or your own review of applicable facts, laws, regulations, risks, and circumstances.
(a) Platform Availability. VialReport may modify, suspend, interrupt, restrict, or discontinue all or part of the Platform, Content, features, or services at any time, including for maintenance, updates, security, operational needs, legal or regulatory concerns, or other business reasons. VialReport does not guarantee that the Platform or any Content will be available at all times or without interruption, delay, error, or loss.
(b) Third-Party Services. The Platform may rely on third-party services, including payment processors, hosting providers, analytics tools, email providers, login tools, and other technology or service providers. VialReport is not responsible for delays, outages, errors, payment failures, security issues, or other problems caused by third-party services outside VialReport’s reasonable control.
(c) Other Policies. VialReport may maintain additional policies, notices, rules, or terms that apply to certain features or services, including a Privacy Policy, website terms, payment terms, or supplemental terms for future offerings. Those additional terms will apply if they are posted on the Platform, presented at checkout, or otherwise made available to you.
(d) Changes to this Agreement. VialReport may update this Agreement from time to time. Changes will be effective when posted on the Platform or otherwise made available to you, unless a later effective date is stated. Your continued use of the Platform after the updated Agreement becomes effective means that you accept the updated Agreement. Changes to this Agreement will not retroactively change the locked founding member price described in Section 5 unless you lose or forfeit that pricing under this Agreement.
(a) No Indirect Damages. To the maximum extent permitted by law, VialReport will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, loss of data, loss of goodwill, business interruption, or similar damages, arising out of or relating to this Agreement, the Platform, any Content, any Report, any Subscription, any Single Report purchase, or your use of or reliance on any VialReport materials.
(b) Liability Cap. To the maximum extent permitted by law, VialReport’s total liability for any claim arising out of or relating to this Agreement, the Platform, any Content, any Report, any Subscription, any Single Report purchase, or your use of or reliance on any VialReport materials will not exceed the greater of: (i) the amount you paid to VialReport during the twelve (12) months before the event giving rise to the claim; or (ii) One Hundred dollars ($100). Nothing in this Agreement limits liability that cannot be limited under applicable law.
(c) Subscriber Indemnification. You agree to defend, indemnify, and hold harmless VialReport and its owners, officers, employees, contractors, agents, service providers, successors, and assigns from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to your breach of this Agreement, misuse of the Platform or Content, unauthorized sharing or redistribution of Content, use of Content in marketing or commercial materials, User Submissions, violation of law, infringement or misappropriation of third-party rights, or use of your Account by any person who accesses it through your login credentials.
(a) Governing Law; Venue. This Agreement is governed by the laws of the State of Illinois, without regard to conflict-of-law rules. To the extent permitted by law, any legal action or proceeding arising out of or relating to this Agreement, the Platform, any Content, any Report, any Subscription, or any Single Report purchase must be brought in the state or federal courts located in Cook County, Illinois, and you consent to the jurisdiction and venue of those courts.
(b) Notices. You may contact VialReport regarding this Agreement or your Account at support@vialreport.com, unless VialReport provides a different notice address or legal contact method on the Platform. VialReport may provide notices to you by email, through your Account, through the Platform, during checkout, or by posting notices on the Platform. You are responsible for keeping your Account email address current. Notices sent by email will be deemed given when sent, unless VialReport receives an automated delivery failure notice.
(a) Assignment. You may not assign or transfer this Agreement, your Account, any Subscription, any Single Report access, or any other rights under this Agreement without VialReport’s prior written consent. VialReport may assign this Agreement in connection with a merger, acquisition, reorganization, sale of assets, change of control, or transfer of the Platform or related business.
(b) Force Majeure. VialReport will not be responsible for any delay, interruption, failure, loss, or inability to perform caused by events beyond its reasonable control, including acts of God, natural disasters, epidemics, pandemics, public health emergencies, internet or hosting failures, cyberattacks, labor disruptions, governmental actions, legal or regulatory changes, payment processor issues, or third-party service failures.
(c) Severability; Waiver. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in effect, and the invalid or unenforceable provision will be enforced to the maximum extent permitted by law. VialReport’s failure to enforce any provision of this Agreement is not a waiver of its right to do so later.
(d) Entire Agreement. This Agreement, together with any checkout terms, posted policies, supplemental terms, and other terms incorporated by reference, constitutes the entire agreement between you and VialReport regarding your access to and use of the Platform, Content, Subscriptions, and Single Report purchases.
(e) Electronic Acceptance. You agree that this Agreement may be accepted electronically, including by clicking “I agree,” “I accept,” checking a box, creating an Account, purchasing a Subscription, purchasing a Single Report, or otherwise taking an action that indicates acceptance. Your electronic acceptance has the same legal effect as a signed written agreement.
(f) Survival. Any provision that by its nature should survive termination or expiration will survive, including provisions relating to ownership, use restrictions, external marketing and vendor use, disclaimers, limitation of liability, indemnification, governing law, venue, notices, and miscellaneous terms.
